Plain-English summary. By creating an operator account on Park Ministry, you agree to honor every pass issued through our marketplace, accurately represent your lot, comply with venue and local rules, and pay our service fees. We agree to settle your payouts within 24 hours of event close, give you full visibility into your revenue, and back up your buyers with the Park Ministry Guarantee. The detailed version follows.

01Agreement

By creating an operator account, listing a parking lot, or accepting bookings on Park Ministry (the "Service"), you ("Operator") agree to these Operator Terms of Service (these "Terms") and to our Privacy Policy.

These Terms form a binding agreement between you and Park Ministry, Inc. ("Park Ministry," "we," "us," "our"), a Delaware corporation. If you're signing on behalf of a company, you represent that you have authority to bind that company.

You must be at least 18 years old, located in the United States, and legally able to contract. The Service is not currently available outside the United States.

02What Park Ministry is (and is not)

Park Ministry operates a marketplace that connects parking lot operators ("Operators") with people looking for event parking ("Buyers"). We facilitate transactions, issue digital parking passes, process payments, and remit payouts to Operators.

What we are:

  • A two-sided marketplace technology platform.
  • A point-of-sale ("POS") system you use to manage event-night inventory and scan passes at the gate.
  • A payment facilitator using Stripe Connect for card processing and Operator payouts.

What we are not:

  • The owner, lessee, manager, or operator of any parking lot listed on the Service.
  • A party to the parking license that exists between you and your Buyer.
  • Your employer, employee, agent, partner, or joint venturer.

You are an independent business and remain fully responsible for your lot, your staff, your insurance, your local permits, and your tax obligations.

03Operator account

To list a lot you must create an Operator account and complete onboarding, which includes identity verification (KYC) and bank account setup through Stripe Connect. We may decline applications at our discretion, particularly where required documents are missing, identity cannot be verified, or your business has been flagged for fraud or chargeback risk.

Account security

You are responsible for keeping your login credentials, scanner devices, and team access tokens secure. If you believe an unauthorized party has accessed your account, contact trust@parkministry.com immediately.

Team access (coming soon)

You will be able to add gate attendants, managers, or other staff to your account. You are responsible for their actions on the Service. We recommend revoking access promptly when staff leave.

04Listing your lot

When you list a parking lot, you represent and warrant that:

  • You own, lease, or have valid authorization to operate the lot for the dates and events listed.
  • You have all permits, zoning approvals, and venue authorizations required by local law and by the host venue.
  • The lot's address, capacity, distance to venue, amenities, and access rules described in your listing are materially accurate.
  • Photos used in your listing are recent and depict the actual lot.

Capacity and oversell

You must not list more spots than the lot can physically accommodate, accounting for accessible spots, fire lanes, and venue rules. Oversell that results in a Buyer being turned away is a material breach of these Terms and triggers the Park Ministry Guarantee (see Section 07).

Pricing

You set the price for each event. We may surface suggested pricing based on event size, weather, and historical demand, but the final price is yours. We do not artificially suppress your price to win the Buyer.

05Issuing & honoring passes

When a Buyer purchases a pass for your lot, Park Ministry issues a digital parking pass on your behalf. You agree to honor every valid pass for the event and time window listed.

"Valid pass" means a pass that:

  • Was issued through Park Ministry (verifiable by QR and confirmation number).
  • Has not been cancelled or refunded.
  • Is being presented within the access window for the event.

Closures and force majeure

If you must close the lot for safety, weather, venue order, or force majeure, mark the lot closed in your dashboard before scheduled access starts. Park Ministry will issue automatic refunds to affected Buyers and notify them. You will not be charged the standard service fee on refunded bookings, but a closure fee may apply if closures become a pattern (more than 5% of your scheduled events in a rolling 90 days).

06Payouts & fees

Park Ministry uses Stripe Connect to process Buyer payments and remit payouts to your verified bank account.

Service fee

Commission We deduct a 11% commission on the gross sale price of each pass, taken from your payout. That is the only deduction: you do not pay Stripe processing fees separately; those are covered by a small service fee charged to the buyer at checkout. Your exact payout per sale is itemized in your dashboard, and we'll give 30 days' notice before any change to the commission rate.

Payout schedule

Payouts are initiated within 24 hours of event close, subject to Stripe's standard banking schedule. Most operators see funds in their bank account 1–2 business days after the event. Weekends and US federal holidays may add one business day.

Reserves and holds

For new accounts, Stripe may hold the first 1–2 payouts for up to 7 days while underwriting completes. We will hold payouts (and notify you) if there is an active fraud or chargeback investigation, an unresolved Buyer dispute, or a material breach of these Terms.

Taxes

You are responsible for collecting and remitting all sales, use, occupancy, and parking taxes that apply to your lot under local law. We may issue Form 1099-K to you and the IRS where required.

07Refunds & the Park Ministry Guarantee

Refund treatment depends on who caused the cancellation.

Buyer-initiated refund

Buyers can self-cancel for a full refund up to the cancellation window stated on their pass (default: until 24 hours before event start).

Operator-initiated cancellation

If you close the lot or cancel a pass after the Buyer has paid, the full amount is refunded to the Buyer at your cost.

Park Ministry Guarantee

If a Buyer arrives at your lot during the access window with a valid pass and is turned away because the lot is full, closed without proper notice, or doesn't match the listing, the Park Ministry Guarantee covers the Buyer for: (a) a full refund, or (b) reasonable replacement parking up to a capped amount disclosed in our Buyer terms.

If the cause is on you (oversell, lot mismarked as open, listing inaccuracy), we will charge the Guarantee payout back to your account. If the cause is force majeure or a venue order outside your control and you reported it correctly, we cover the Guarantee.

08Acceptable use

You agree not to:

  • Misrepresent your lot, capacity, location, or affiliation with a venue.
  • Discriminate against Buyers in violation of federal, state, or local law.
  • Charge Buyers an additional cash fee at the gate beyond what's listed on the pass.
  • Use Park Ministry to launder funds, evade taxes, or circumvent venue parking rules.
  • Scrape, reverse-engineer, or attempt to bypass the Service's technical controls.
  • Resell access to your Operator account or your scanner credentials.

Violations may result in payout holds, account suspension, or termination. See Section 14 for governing law.

09Data & confidentiality

You receive limited Buyer data through the Service: pass code, vehicle plate (if Buyer provided), arrival time. You may use this data only for honoring the pass and post-event reconciliation.

You may not:

  • Add Buyers to a marketing list, email database, or SMS campaign.
  • Sell, share, or otherwise disclose Buyer data to any third party.
  • Retain Buyer data longer than 90 days after the event, except as required by law.

If you receive a payment dispute, chargeback, or government request related to a specific Buyer, contact us at support@parkministry.com trust@parkministry.com before responding.

10Intellectual property

Park Ministry retains all rights in the Service, the POS software, the Park Ministry name and marks, and all related technology. We grant you a limited, non-exclusive, non-transferable license to use the Service while these Terms are in effect.

You retain ownership of your listing content (photos, descriptions). You grant Park Ministry a worldwide, royalty-free license to use your listing content to operate the Service, market the marketplace, and display your listing to Buyers.

11Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Park Ministry disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee any specific level of Buyer demand, revenue, or sell-through. Past performance of the marketplace is not indicative of future results for your lot.

12Limitation of liability

To the maximum extent permitted by law, Park Ministry's total cumulative liability arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total service fees we collected from your account in the 12 months before the claim arose, or (b) one thousand US dollars (US$1,000).

In no event shall Park Ministry be liable for any indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost data, or business interruption, even if advised of the possibility.

13Indemnity

You agree to indemnify, defend, and hold harmless Park Ministry, its officers, directors, employees, and agents from any claim, loss, damage, or expense (including reasonable attorneys' fees) arising out of: (a) your operation of the lot, (b) your breach of these Terms, (c) your violation of any law or third-party right, or (d) any injury, property damage, or loss occurring on your lot.

14Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules. Any dispute arising out of these Terms or the Service shall be resolved in the state or federal courts located in Wilmington, Delaware. You consent to personal jurisdiction in those courts.

Where permitted by law, you and Park Ministry agree to resolve disputes through binding individual arbitration administered by JAMS, and you waive the right to participate in a class action. Full arbitration terms, including the right to opt out within 30 days of account creation, are described in our Operator Arbitration Addendum available on request.

15Changes to these Terms

We may update these Terms from time to time. For material changes, we will notify you at least 30 days before they take effect, by email and through the Operator dashboard. Continued use of the Service after the effective date constitutes acceptance.

If you don't agree to a change, your option is to stop using the Service before the effective date. We will continue to settle any payouts you've already earned under the prior version of the Terms.
